Jemand, der soetwas kauft, will etwas

Microchip Technology Inc. said it will nominate a dissident slate of
directors for the board of Atmel Corp. as it continues to pursue its
$2.3 billion takeover of the rival chip maker.

Microchip, along with ON Semiconductor Corp., in October made an
unsolicited offer to purchase Atmel for $5 a share, at that time a 52%
premium to Atmel's previous closing price. Atmel rejected the offer on
the grounds that the deal undervalued the company.

"We were surprised that Atmel's board rejected our offer without
engaging in any discussions with us," said Microchip Chief Executive
Steve Sanghi and ON Semi CEO Keith Jackson in a joint statement. "Given
the response of the Atmel board, Microchip intends to take the offer
directly to Atmel's shareholders."

Atmel issued a statement Wednesday saying the acquisition offer is still
inadequate and "stockholders will realize greater value through the
continued execution of the company's transformation plan."

Atmel, which makes chips used in several areas including automobiles,
satellite radios and touch-screen displays, has been trying to
restructure its operations following a hotly contested management
change, in which founder George Perlegos was fired and last year lost a
proxy fight to resume control.
